BUILDER AGREEMENT — ALT+SHIFT+X
Part 1 of 3 (Sections 1–5)
Effective Date: June 14, 2026 | Version: 1.0 Continued in Parts 2 and 3
READ BEFORE SUBMITTING YOUR FIRST COMPONENT. This Builder Agreement is a legally binding contract between you ("Builder") and Alt+Shift+X. It governs your rights and obligations as a publisher of AI Components on the marketplace. It incorporates the Terms of Service, Privacy Policy, Export Controls & Sanctions Policy, and Sensitive Intelligence Policy by reference. In any conflict between this Agreement and the Terms of Service on Builder-specific matters, this Agreement controls. By submitting your first Component, you agree to be bound by this Agreement in full.

SECTION 2 — BUILDER ELIGIBILITY & REGISTRATION
2.1 Eligibility. To publish Components you must: (a) be 18+ or the age of majority in your jurisdiction; (b) have a valid Alt+Shift+X account with accurate information; (c) not be a Sanctioned Party; (d) have legal authority to enter this Agreement; (e) have completed Builder profile setup and payout method configuration.
2.2 One Builder Account. Each individual or legal entity may maintain only one active Builder account. Duplicate accounts may result in termination and forfeiture of pending earnings.
2.3 Accurate Profile. You agree to maintain accurate, current information in your Builder Profile at all times. Alt+Shift+X is not responsible for payout failures caused by inaccurate profile information.
2.4 Payout Configuration. You must configure a valid payout method (Stripe Connect or PayPal) before receiving any payout. Payouts cannot be processed to an unconfigured account. We bear no responsibility for delays or losses arising from failure to configure a valid payout method.
SECTION 3 — COMPONENT SUBMISSION STANDARDS
3.1 Submission Process. All Components must be submitted through the Platform's approved submission interface.
3.2 Required Standards. Every Component must meet all of the following at submission and throughout publication:
(a) Accuracy. Name, description, features, schema, and claimed capabilities must be truthful and not misleading. You may not overstate performance or describe features not present in the Component.
(b) Functionality. The Component must function as described and deliver meaningful, substantive output within its stated domain. Placeholder or stub submissions are not eligible.
(c) Safety & Ethics. The Component must not: generate content designed to harm, deceive, or harass; produce outputs that could constitute unlicensed professional advice without appropriate disclaimers; facilitate illegal activity; or bypass any Platform safety mechanism.
(d) Originality. Must be your original work or derived from sources you have legal right to use. Substantially identical copies or lightly reformatted versions of another Builder's Component are not eligible.
(e) IP Compliance. Must not infringe any third-party intellectual property rights. If incorporating third-party content or published works (including in KBT format), you have all necessary licenses and permissions.
(f) Legal Compliance. Must comply with all applicable laws including data protection, consumer protection, and any sector-specific regulation applicable to the Component's domain.
(g) Export Controls. The Component must not contain technology subject to export restrictions that would prevent its distribution through the Platform.
3.3 Prohibited Component Types. The following will not be approved and, if discovered post-publication, will be immediately removed:
(a) Components enabling or facilitating illegal activity; (b) Components generating disinformation, propaganda, or deceptive synthetic media; (c) Components targeting, harassing, or discriminating against individuals or groups; (d) Components designed to bypass Platform security or compliance mechanisms; (e) Components that harvest or misuse user data; (f) Components containing malicious code, backdoors, or unauthorized data collection; (g) Components whose primary foreseeable use involves weapons, human trafficking, financial crime, or terrorism; (h) Components submitted on behalf of a Sanctioned Party.
3.4 Ongoing Compliance. Publication is not a one-time approval. Components must continue to meet all standards throughout the period of publication. You must update or request removal of any Component that falls out of compliance.
3.5 Maintenance Obligation. You are responsible for maintaining your Component's functionality, accuracy, and relevance. Stale, non-functional, or materially inaccurate Components may be flagged, delisted, or removed with or without prior notice.
SECTION 4 — REVIEW, APPROVAL & REJECTION
4.1 Review Process. All submitted Components are reviewed by the Alt+Shift+X platform team for: description accuracy, functional credibility, schema completeness, safety posture, IP compliance, and marketplace fit.
4.2 Approval. If approved, the Component's status is set to "published" and becomes available in the marketplace. Approval may include conditions you must fulfill.
4.3 Rejection. If rejected, you will receive a rejection reason. You may revise and resubmit. Common grounds: inaccurate description, insufficient functionality, safety concerns, IP issues, duplicate submission, or poor marketplace fit.
4.4 Post-Publication Removal. Alt+Shift+X may remove any published Component at any time for any reason including: violation of Section 3, user complaints, legal concerns, regulatory requirements, or policy changes. We will use reasonable efforts to notify you before removal except where immediate action is required.
4.5 No Formal Appeal. Publication decisions are at Alt+Shift+X's sole discretion. There is no formal appeal process, though you may contact us to discuss a decision.
SECTION 5 — INTELLECTUAL PROPERTY
5.1 You Retain Your IP. You retain full ownership of all intellectual property in your Components. This Agreement does not transfer any IP from you to Alt+Shift+X or to Buyers.
5.2 License You Grant to the Platform. By publishing a Component, you grant Alt+Shift+X a non-exclusive, worldwide, royalty-free, sublicensable license to: (a) display, market, and promote your Component; (b) host, operate, and deliver your Component to Buyers; (c) use your Component's name, description, and features for promotional purposes; (d) include your Component in curated collections and featured placements; (e) store and process your Component's content to operate the Platform. This license continues while the Component is published and survives termination only to fulfill obligations to existing Buyers during their billing cycle.
5.3 Buyer License. Buyers receive a limited, non-exclusive, non-transferable, non-sublicensable license to use your Component solely through the Platform's interface for the duration of their active subscription. Buyers do not receive access to source code, model weights, or proprietary frameworks.
5.4 Third-Party Content. If your Component incorporates third-party content or published works, you are solely responsible for: (a) obtaining all necessary licenses and permissions; (b) complying with all attribution and usage requirements; (c) ensuring no third-party rights are infringed. Alt+Shift+X assumes no responsibility for your use of third-party content.
5.5 Platform IP. Nothing in this Agreement grants you any rights in Platform IP — including named platform agents (the UpKeeper, BOB, the Sentinel, the Front Man, and all others), Platform infrastructure, design, or branding. You may not use the Platform's name or agent names in your marketing without prior written consent.
5.6 Feedback. Feedback, suggestions, or ideas you provide grant Alt+Shift+X a perpetual, irrevocable, royalty-free license to use such input for any purpose without compensation or attribution.

Part 2 of 3 (Sections 6–11)
Effective Date: June 14, 2026 | Version: 1.0 Continued from Part 1 | Continues in Part 3
SECTION 6 — REVENUE SHARE
6.1 Standard Revenue Share. You receive 70% of Net Revenue generated by your Component subscriptions. The Platform retains 30% as its marketplace fee.
6.2 Net Revenue Defined. Net Revenue = Gross subscription fees collected from Buyers, minus payment processor fees charged by Stripe or PayPal. Processor fees are not controlled by Alt+Shift+X.
6.3 Revenue Share is Pre-Holdback. Your 70% Revenue Share is calculated before application of the Escrow Holdback (Section 7). The Holdback is a temporary withholding, not an additional platform fee.
6.4 No Revenue on Removed Components. Revenue Share accrual ceases at the date of Component removal. Revenue already earned on completed billing cycles prior to removal will be paid per the standard schedule.
6.5 Kit Pairing Revenue. Revenue from Kit Pairing subscriptions is split proportionally based on each Component's individual list price as a percentage of the combined kit price, locked at pairing acceptance. See Section 9.
6.6 Open Pipeline Revenue. If you opt into the Open Contribution Pipeline, your share of pipeline subscription revenue is calculated per the Pipeline revenue allocation policy in effect at opt-in and communicated in the dashboard. See Section 10.
6.7 Voided Transactions. Transactions voided due to sanctions violations, fraud, or chargebacks do not generate Revenue Share. If Revenue Share has already been credited on a voided transaction, the amount will be recovered from future earnings.
SECTION 7 — ESCROW HOLDBACK & POLICY TIERS
7.1 Purpose. A portion of your Revenue Share is held in escrow as a reserve against chargebacks, refunds, disputes, and compliance-related reversals. Escrowed funds not claimed against are released to you per the holdback schedule.
7.2 Policy Tiers and Holdback Rates.
| Tier | Holdback | Qualification | |---|---|---| | Standard | 20% | Default for all new Builders | | Insured / Safe Harbor | 5% | Valid E&O insurance certificate verified by admin | | TMT-3 Verified | 10% | At least one Component passed a TMT-3 Sentinel audit |
7.3 Advancing to Insured / Safe Harbor Tier. You must: (i) upload a valid ACORD E&O insurance certificate to your Builder Profile; (ii) have it verified by an Alt+Shift+X admin; (iii) maintain continuous coverage — if your policy lapses, your tier reverts to Standard immediately. The Platform will alert you 30 days before policy expiry. Failure to renew = automatic tier reversion.
7.4 Advancing to TMT-3 Verified Tier. At least one of your published Components must pass a full TMT-3 Sentinel audit — evaluating security posture, safety guardrails, output quality, and schema integrity. Audit results are final. Passing earns the tmt3_passed badge on your Builder Profile.
7.5 Holdback Release Schedule. Escrowed funds are released on a rolling 90-day basis from the date of the generating transaction, subject to no active chargeback, dispute, or compliance hold on those funds. The Platform may extend the holdback period for transactions subject to active disputes.
7.6 Holdback on Termination. If your account is terminated for any reason, the standard holdback period applies to all escrowed funds. See Section 14.4 for termination-specific escrow treatment.
SECTION 8 — PAYOUTS
8.1 Payout Methods. Payouts via: Stripe Connect (default — requires Connect onboarding including identity verification and banking setup) or PayPal (requires valid PayPal account email in Builder Profile).
8.2 Payout Schedule. Released Revenue Share (after Escrow Holdback release) is paid on the Platform's standard monthly schedule, communicated via the Builder dashboard and AppNotification system.
8.3 Minimum Threshold. Payouts are processed only when your released balance meets or exceeds the minimum threshold shown in your dashboard. Balances below threshold roll to the next cycle.
8.4 Your Responsibility. You are responsible for accurate payout configuration. Alt+Shift+X is not responsible for failed payouts due to incorrect or expired payout information.
8.5 Taxes. You are solely responsible for all taxes on your earnings — including income tax, self-employment tax, VAT, GST, and all taxes in your jurisdiction. Alt+Shift+X does not withhold taxes unless required by law. Where required (e.g., U.S. Form 1099 for qualifying U.S.-based Builders), the Platform will issue appropriate tax documentation.
8.6 Currency. All payouts are in U.S. Dollars (USD). Currency conversion fees charged by your payment provider are your responsibility.
SECTION 9 — KIT PAIRINGS
9.1 Overview. A Kit Pairing bundles your Component with one Component owned by another Builder at a combined marketplace price. Participation is voluntary and opt-in.
9.2 Initiating a Pairing. You (the Requester) may initiate a Kit Pairing request through the Platform's Kit Pairing interface. The Partner Builder must accept the request. The pairing is not active until both Builders have acknowledged the IP Statement (Section 9.3).
9.3 IP Statement. Upon acceptance, the Platform generates a locked, integrity-hashed IP Statement documenting: Component ownership, revenue split, kit pricing, and notice period. Both Builders must affirmatively acknowledge it before the pairing finalizes. The IP Statement cannot be silently altered after acceptance and constitutes a binding agreement between the two Builders and the Platform.
9.4 Revenue Split Formula.
Builder's Share % = (Builder's Component List Price ÷ Combined Kit Price) × 100
This split is calculated and locked at acceptance, recorded in the revenue_split snapshot. Each Builder's share is then subject to their individual 70% Revenue Share and Escrow Holdback.
9.5 Kit Pricing. The combined kit price is locked at acceptance. Neither Builder may unilaterally change it after acceptance without initiating a new pairing process.
9.6 Discounts. Individual Builder discount codes do not apply to Kit Pairing components. Kit-specific discounts require mutual agreement between both Builders.
9.7 Termination of Pairing. Either Builder may terminate by initiating a revocation through the Platform. Default notice period: 30 days from revocation notice (unless a different period was specified at pairing creation). During the notice period, the pairing remains active. After expiry, the kit is removed from the marketplace. Existing active Buyer subscriptions at time of termination continue until the Buyer's next billing cycle; renewal is not available after that.
9.8 Independent Component Obligations. Each Builder remains independently responsible for maintaining their own Component in compliance with this Agreement. The Platform may remove a Kit Pairing if either Component fails to meet standards, with or without notice to either Builder.
SECTION 10 — OPEN CONTRIBUTION PIPELINE
10.1 Overview. The Open Contribution Pipeline is a curated pool of Components providing Sovereign Commander platform subscribers access as part of their subscription. Participation is opt-in only.
10.2 Opting In and Out. Enable include_in_open_pipeline: true in your Component settings or request opt-in through the dashboard. You may opt out at any time; opt-out takes effect at the next Pipeline subscription renewal cycle.
10.3 Pipeline Revenue. Revenue from Pipeline subscriptions is allocated to opted-in Components based on the Platform's Pipeline revenue allocation methodology communicated in the Builder dashboard. This methodology may be updated with reasonable notice. Your Pipeline revenue share is subject to the same 70/30 split and Escrow Holdback as standard revenue.
10.4 No Exclusivity. Opting into the Pipeline does not make your Component exclusive to Pipeline subscribers. It remains available for individual subscription purchase.
10.5 Platform Curation Rights. The Platform reserves the right to include, exclude, or remove any Component from the Pipeline at its discretion for quality, compliance, or curation reasons, regardless of your opt-in status.
SECTION 11 — DISCOUNTS & PROMOTIONAL CODES
11.1 Builder Discounts. You may create promotional discount codes for your own Components through the Builder dashboard. Discounts are subject to the following rules:
(a) Discounts apply only to Components you own — you may not discount another Builder's Component; (b) Kit Pairing components are not eligible for individual Builder discount codes; (c) Discount codes may be set with or without expiry dates and with or without redemption caps; (d) Discounts are calculated as a percentage off the Component's list price; (e) Revenue Share for discounted transactions is calculated on the discounted amount actually collected, not the list price; (f) Alt+Shift+X reserves the right to void any discount code that violates these rules or is obtained fraudulently.
11.2 Platform-Level Promotions. The Platform may run platform-wide promotions that affect your Component's pricing. We will use reasonable efforts to notify you in advance of any platform-level promotion that affects your earnings.
11.3 No Incentivized Reviews. You may not offer discounts, credits, or any other benefit in exchange for reviews. Violation of this rule is grounds for Component removal and account termination.

Effective Date: June 14, 2026 | Version: 2.0 Continued from Parts 1 and 2
SECTION 12 — BUILDER CONDUCT & PROHIBITED ACTIONS
12.1 Prohibited Conduct. As a Builder on the Platform, you must not:
(a) Manipulate Metrics. Artificially inflate your Component's install count, rating, review count, or trust score through any means — including creating fake accounts, incentivizing reviews, coordinating with others, or using automated tools;
(b) Submit Deceptive Content. Submit Components with false descriptions, fabricated capabilities, or deceptive pricing;
(c) Self-Compete Unfairly. Submit multiple substantially identical Components under different names to dominate marketplace categories or search results;
(d) Harvest Buyer Data. Access, collect, or use Buyer data beyond what is strictly necessary to operate your published Components. You may not use Platform access to build competing databases, marketing lists, or analytics products;
(e) Undermine Platform Integrity. Engage in any conduct that harms the reputation, security, or operation of the Platform, including: reverse-engineering Platform systems; attempting to access other Builders' or Buyers' accounts; submitting Components containing malicious code; or exploiting Platform vulnerabilities;
(f) Circumvent Revenue Share. Attempt to direct Buyers to transact with you outside the Platform to avoid Revenue Share obligations. All sales of Components published on the Platform must be conducted through the Platform's billing infrastructure;
(g) Sanctions Violations. Submit Components on behalf of or for the benefit of a Sanctioned Party, or use the Platform in any manner that violates applicable sanctions or export control laws;
(h) Impersonate. Represent yourself as the Platform, another Builder, a Platform agent, or any other person or entity in a deceptive manner;
(i) Violate Applicable Law. Use your Builder account or published Components to facilitate any violation of applicable law.
12.2 Consequences. Violation of any provision in Section 12.1 may result, at the Platform's sole discretion, in: Component removal; account suspension or termination; forfeiture of escrowed and pending earnings; and/or legal action. The severity of the consequence will be proportionate to the severity and intent of the violation, except that sanctions violations and malicious code submissions warrant immediate termination without prior notice.
SECTION 13 — BUILDER REPRESENTATIONS & WARRANTIES
By entering into this Agreement and on each occasion you submit a Component, you represent, warrant, and covenant to Trust AR LLC d/b/a Alt+Shift+X that:
13.1 You have the full legal right, power, and authority to enter into this Agreement and to grant all licenses and rights described herein;
13.2 Your Component is your original creation or is derived from materials you have the full legal right to use, and does not infringe any third-party intellectual property, privacy, publicity, or other rights;
13.3 Your Component's description, features, schema, and all claimed capabilities are truthful, accurate, and not misleading;
13.4 Your Component complies with all applicable laws and regulations in your jurisdiction and in the jurisdictions of your intended users;
13.5 You are not a Sanctioned Party and your Component is not being submitted on behalf of or for the benefit of a Sanctioned Party;
13.6 Your Component does not contain malicious code, unauthorized data collection mechanisms, backdoors, or any component designed to harm users or the Platform;
13.7 You will promptly notify Alt+Shift+X at info@altshiftx.tech if any of the above representations become inaccurate after submission;
13.8 You have obtained and will maintain all licenses, permits, consents, and authorizations required to operate your Component and to make it available to Buyers through the Platform;
13.9 You understand and agree that Alt+Shift+X relies on your representations in deciding to publish and maintain your Component, and that false representations constitute grounds for immediate removal, account termination, and potential legal action.
SECTION 14 — TERM & TERMINATION
14.1 Term. This Agreement begins when you submit your first Component and continues until terminated by either party.
14.2 Termination by You. You may terminate this Agreement at any time by: (a) requesting removal of all your published Components; and (b) closing your Builder account through your account settings. Termination does not relieve you of obligations that arose before the termination date, including revenue share obligations to the Platform for transactions already processed.
14.3 Termination by Alt+Shift+X. We may terminate this Agreement and your Builder account immediately, with or without notice, for:
(a) Material breach of any provision of this Agreement; (b) Breach of the Platform Terms of Service, Privacy Policy, Export Controls Policy, or Sensitive Intelligence Policy; (c) Fraud, misrepresentation, or illegal activity; (d) Sanctions violations; (e) Persistent failure to maintain Component standards; (f) Any conduct that harms the Platform, its users, or its reputation; (g) Insolvency, bankruptcy, or assignment for the benefit of creditors (where permitted by applicable law).
14.4 Effect of Termination on Earnings.
(a) Active Subscriptions. Upon termination, your Components are removed from the marketplace. Existing active Buyer subscriptions continue until the Buyer's next billing cycle; revenue generated from those final cycles is subject to normal Revenue Share and Holdback processing.
(b) Escrowed Funds — Termination by You. Escrowed funds are released per the standard 90-day holdback schedule. Released funds are paid to your configured payout account.
(c) Escrowed Funds — Termination for Cause. If your account is terminated for cause (fraud, sanctions violation, malicious code, or material breach), escrowed funds may be withheld for an extended period pending resolution of any claims, chargebacks, or legal proceedings arising from your conduct. Alt+Shift+X reserves the right to apply escrowed funds against any damages, costs, or liabilities you owe to the Platform or to affected Buyers.
(d) Forfeiture. Escrowed and pending earnings are forfeited in full in the event of: confirmed sanctions violation; submission of Components containing malicious code; fraud against the Platform or Buyers; or any other conduct that results in material harm to the Platform or its users.
14.5 Survival. Sections 5 (Intellectual Property — license to Platform survives for existing Buyers), 6 (Revenue Share — for outstanding periods), 7 (Escrow — release and forfeiture), 13 (Representations), 14 (Termination), 15 (Indemnification), 16 (Limitation of Liability), and 17 (Governing Law) survive termination of this Agreement.
SECTION 15 — INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Trust AR LLC d/b/a Alt+Shift+X, its officers, directors, members, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) Your breach of any representation, warranty, or obligation under this Agreement;
(b) Your Component — including any claim that your Component infringes third-party intellectual property rights, violates applicable law, harms a Buyer, or contains malicious code;
(c) Your use of the Platform or any Platform data;
(d) Your violation of any applicable law or regulation, including sanctions law and export control law;
(e) Any third-party claim arising from your Kit Pairing arrangements;
(f) Any tax obligation arising from your earnings on the Platform.
Alt+Shift+X reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of any such claim.
SECTION 16 — LIMITATION OF LIABILITY
16.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUST AR LLC D/B/A ALT+SHIFT+X SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR PARTICIPATION AS A BUILDER ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ALT+SHIFT+X HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUST AR LLC D/B/A ALT+SHIFT+X'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL REVENUE SHARE PAID TO YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) FIVE HUNDRED DOLLARS (USD $500).
16.3 THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THEIR BARGAIN. ALT+SHIFT+X WOULD NOT MAKE THE PLATFORM AVAILABLE TO BUILDERS WITHOUT THESE LIMITATIONS.
SECTION 17 — GOVERNING LAW & DISPUTE RESOLUTION
17.1 This Agreement is governed by the laws of the State of West Virginia, United States, without regard to conflict of law provisions.
17.2 Informal Resolution. Before initiating any formal proceeding, you agree to contact us at info@altshiftx.tech and attempt to resolve the dispute informally for at least 30 days.
17.3 Binding Arbitration. Except for claims for injunctive or equitable relief, any unresolved dispute shall be resolved by binding individual arbitration administered by JAMS under its applicable arbitration rules, conducted in English in Kanawha County, West Virginia, or remotely by mutual agreement. The arbitrator's decision is final and binding.
17.4 Class Action Waiver. DISPUTES SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDINGS.
17.5 Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.
