SECTION 1 — OVERVIEW

Trust AR LLC, a West Virginia limited liability company doing business as Alt+Shift+X ("Alt+Shift+X," "we," "us," or "our") operates a Referral Program for registered Builders and an Affiliate Program for approved partners. These terms govern participation in both programs. By generating a referral code, accepting an affiliate link, or participating in either program, you agree to these terms.

SECTION 2 — BUILDER REFERRAL PROGRAM

2.1 Eligibility

All registered Builders in good standing receive a unique referral code. The referral code is personal, non-transferable, and tied to your Builder account.

2.2 How It Works

Share your referral code or referral link with prospective users. When a new user signs up using your code and completes a qualifying action (as defined in Section 2.3), you earn a referral credit.

2.3 Qualifying Actions

A referral is credited when: (a) a new user signs up using your referral code or link; (b) the referred user is not already registered on the Platform; (c) the referred user completes their first paid subscription within 60 days of signup. Self-referrals — using your own code to sign up for a second account — are prohibited and result in disqualification and potential account termination.

2.4 Referral Earnings

Referral earnings are credited to your Builder account and paid per the standard payout schedule (Section 4). Referral earnings are subject to the same Escrow Holdback policy as Component Revenue Share. Referral earning rates are communicated in the Builder dashboard and may be updated with reasonable notice.

2.5 Referral Code Rules

Your referral code must not be: posted in spam, unsolicited bulk messages, or any channel that violates our Acceptable Use Policy; used in paid advertising without prior written consent from Alt+Shift+X; used in a way that misrepresents the Platform or creates false expectations about its capabilities or pricing; redeemed by you, your employees, or your immediate family members.

SECTION 3 — AFFILIATE PROGRAM

3.1 Eligibility

The Affiliate Program is open to approved partners — individuals or organizations who have been issued an affiliate link by an Alt+Shift+X admin. Affiliate links are created and managed by the Platform and assigned to specific partners.

3.2 Affiliate Links

Each affiliate link contains a unique ?ref=CODE parameter that tracks attribution. Affiliate links may be configured to direct to: the Platform homepage, the pricing page, the marketplace, or a specific Component product page.

3.3 Attribution

Attribution is tracked via cookie on the user's device. Attribution window: 90 days from the first click on the affiliate link. If a user clicks multiple affiliate links, attribution goes to the most recent link clicked before signup or purchase.

3.4 Affiliate Metrics

Affiliates can track: link clicks, attributed signups, attributed paid conversions, and total attributed revenue. These metrics are maintained in the Platform's affiliate tracking system and available upon request.

3.5 Affiliate Commissions

Commission rates, structures, and payment terms are set individually per affiliate arrangement and communicated in writing at the time the affiliate link is issued. Alt+Shift+X reserves the right to adjust commission structures with 30 days' notice for prospective referrals (commissions already earned are not affected retroactively).

3.6 Prohibited Affiliate Promotion Methods

Affiliates must not: (a) Use paid search advertising (Google Ads, Bing Ads, etc.) that bids on "Alt+Shift+X" or its branded terms without prior written consent; (b) Use spam, unsolicited email, or bulk messaging to distribute affiliate links; (c) Make false claims about the Platform's capabilities, pricing, or outcomes; (d) Use cookie stuffing, forced clicks, or any other deceptive attribution manipulation; (e) Create fake user accounts to generate artificial referral credits; (f) Promote the Platform to audiences that include Sanctioned Parties or in jurisdictions subject to comprehensive sanctions; (g) Misrepresent their relationship with Alt+Shift+X (e.g., claiming to be an official representative, employee, or partner beyond their affiliate role).

3.7 FTC Disclosure Requirement

Affiliates who promote Alt+Shift+X in any public communication — including blog posts, social media, videos, podcasts, or review sites — must clearly and conspicuously disclose their affiliate relationship in compliance with FTC Endorsement Guidelines (16 C.F.R. Part 255) and applicable laws in their jurisdiction. A disclosure such as "I earn a commission if you sign up through my link" is required. Failure to disclose may result in affiliate termination and is your legal responsibility.

SECTION 4 — PAYMENT

4.1 Payout Method

Referral and affiliate earnings are paid via the same payout method configured in your account (Stripe Connect or PayPal for Builders; as agreed in writing for external affiliates).

4.2 Minimum Threshold

Referral and affiliate earnings are subject to the same minimum payout threshold as Component Revenue Share. Amounts below threshold roll to the next payout cycle.

4.3 Taxes

You are solely responsible for all taxes on referral and affiliate earnings.

4.4 Clawbacks

If a referred user receives a refund, reversal, or chargeback on the qualifying transaction, the corresponding referral credit may be reversed. Referral and affiliate earnings are subject to a 90-day holdback from the date of the qualifying transaction to account for potential reversals.

SECTION 5 — TERMINATION

5.1 Termination by Alt+Shift+X

We may terminate your participation in the Referral or Affiliate Program immediately, with or without notice, for: violation of these terms; violation of the Acceptable Use Policy; fraud or misrepresentation; sanctions violations; or any conduct that harms the Platform or its users.

5.2 Effect of Termination

Upon termination: your referral code or affiliate link is deactivated; no new referrals are credited; earnings already confirmed and past the holdback period are paid per the standard schedule; earnings in the holdback period may be forfeited if termination was for cause.

5.3 Termination by You

You may exit the Referral or Affiliate Program at any time by contacting info@altshiftx.tech. This does not affect your Builder account or other Platform access.

SECTION 6 — GENERAL

6.1 Governing Law. These terms are governed by the laws of the State of West Virginia, United States, and subject to the dispute resolution provisions in the Terms of Service (Section 18).

6.2 Alt+Shift+X reserves the right to modify, suspend, or terminate either program at any time with reasonable notice. Modifications do not affect earnings already confirmed before the modification date.

6.3 The Referral and Affiliate Programs are subject to the full Terms of Service, Privacy Policy, Acceptable Use Policy, and Export Controls & Sanctions Policy.

6.4 Independent Contractors. Affiliates and referring Builders are independent contractors, not employees, agents, or partners of Trust AR LLC d/b/a Alt+Shift+X.
